The arbitral procedure shall be conducted in English language and any award or awards shall be rendered in English. The procedural law of the arbitration shall be Indian law. The award of the arbitral shall be final, conclusive and binding upon the parties and the provisions of the Indian Arbitration and Conciliation Act 1996 shall apply. The rights and obligations of the parties under or pursuant to this clause including the arbitration agreement clause shall be governed by and be subject to Indian law and the agreement shall be subject to the exclusive jurisdiction of the courts at Delhi. Except otherwise provided, each party shall bear its own attorney’s fee expert witness fees and other cost incurred in connection with any legal actions. The award shall be final and binding on the Parties.

Governing Law and Dispute Resolution

This Agreement and any contractual obligation between Felix Store and User will be governed by the laws of India, without reference to the conflict of laws principles. Any legal action or proceeding related to your access to, or use of, the Felix Store Website or these Terms of Use shall be subject to the exclusive jurisdiction of the courts at Delhi.

Complete Understanding: The Agreement contain the entire understanding of the Parties, and there are no other written or oral understandings or promises between the Parties with respect to the subject matter of the Agreement other than those contained or referenced in the Agreement.

Force Majeure: Felix Store shall not be liable for any downtime or delay or unavailability of the Felix Store Website caused by circumstances beyond a reasonable control, including without limitation, acts of God, acts of government, floods, fires, earthquakes, civil unrest, acts of terror, strikes or other labour problems, internet service provider failures or delays, or denial of service attacks.

Advice of Counsel: Each Party acknowledges: (a) having fully read the Agreement in its entirety; (b)having had full opportunity to study and review the Agreement.

Advertisement: Felix Store shall have the right to place advertisements and publicity materials of its choice, including that pertaining to parties other than itself for commercial use through electronic means on the Felix Store Website.

Assignment: You may not assign or sub-license, without the prior written consent of Felix Store, the rights, duties or obligations under this Agreement, in whole or in part, to any person or entity.
